2020 Director Elections
Members of Sawnee EMC have the unique right and privilege to determine who represents them in the affairs of the Cooperative as members of its Board of Directors. This right is supported in the Corporation’s Bylaws and in the principles of our cooperative business structure.
Sawnee EMC has nine (9) members of its Board of Directors, one (1) from each directorate geographical district that exists throughout Sawnee’s service area, of which three (3) are up for consideration each year.
Summary of 2020 Activities – As of October 20, 2020:
The terms of service for the three (3) SEMC Directorate Districts that are expiring in 2020 are listed below, as well as the results of the actions that have occurred in each of these directorate districts.
- District #5 (Ducktown)
Given the action taken by the Committee on Nominations (see minutes) for District #5 (Ducktown), and with the passing of the deadline date for petitions, and as outlined in Sawnee’s Bylaws Article 4, Section 4.09, the Committee’s nominee, Mr. Larry Evans, was deemed to be elected by the members of this directorate district and no district meeting will occur.
- District #8 (Ocee)
Given the action taken by the Committee on Nominations (see minutes) for District #8 (Ocee), and with the passing of the deadline date for petitions, and as outlined in Sawnee’s Bylaws Article 4, Section 4.09, the Committee’s nominee, Ms. Donna Yost, was deemed to be elected by the members of this directorate district and no district meeting will occur.
- District #3 (Cumming)
The Committee on Nominations (see minutes) for District #3 (Cumming) placed the names of Mr. Bill Barnett, Mr. Adrian Flack and Mr. David Sexton in nomination for the office of director. Separately, the Directorate District Meeting Credentials and Election Committee received, and found to be valid, a petition from Mr. Tim Hubbard for this district (see Official Notice of Petitions Received), thus requiring the members of District #3 (Cumming) to determine the person to represent them on Sawnee’s Board of Directors.
The Directorate District Meeting concluded on September 8, 2020. The members from District #3 were asked to consider 1) the approval of the prior meeting minutes and 2) the election of a director. The minutes were approved, and the results of the District #3 (Cumming) director election are as follows:
CANDIDATE VOTES (#) VOTES (%) Mr. Bill Barnett 127 31.75% Mr. David Sexton 116 29.00% Mr. Adrian Flack 106 26.50% Mr. Tim Hubbard 51 12.75% TOTALS 400 100.00%
Given that no candidate received a majority of the votes cast (50% plus 1), as required in the Bylaws of the Corporation, a Special Directorate District Meeting is required so that a runoff election can be held between Mr. Bill Barnett and Mr. David Sexton to determine the individual that will represent District #3 (Cumming) on Sawnee EMC’s Board of Directors.
A Special Directorate District Meeting concluded on October 20, 2020. The members from District #3 were asked to consider 1) the approval of the prior meeting minutes from September 1, 2020, and 2) select a candidate in the runoff election of a director.
The results are as follows:
1. The minutes were approved, and
2. The results of the District #3 (Cumming) director election are as follows:
CANDIDATE VOTES (#) VOTES (%) Mr. Bill Barnett 190 52.49% Mr. David Sexton 172 47.51% TOTALS 362 100.00%
As a result of the ballots cast, and effective immediately, Mr. Bill Barnett is now deemed to be the seated director for District #3 (Cumming).
